CONSTITUTION AND BY-LAWS (January 1994)

 

PREAMBLE: 

The Alaskan Malamute Association of Eastern Pennsylvania asserts its membership has the obligation to the Alaskan Malamute breed to preserve the magnificence of the breed without exploiting it, and its membership owes an obligation to the Club to uphold the ideals set forth for all dog club organizations by the American Kennel Club. In addition, it is asserted by the Club the Membership owes an obligation to future Members and others interested in the Alaskan Malamute breed to supply factual information without misrepresentation.

It is urged dogs and bitches only be bred where it is conscientiously felt such breeding will result in improvement of the breed. Owners of both bitch and dog in each breeding will supply each other with accurate and complete information in regard to their dog or bitch to ChD probability, hip dysplasia and other known genetic faults or undesirable characteristics of which the member is aware and have reason to believe could be a problem.

To achieve and maintain membership in the Alaskan Malamute Association of Eastern Pennsylvania, each Member (or Applicant) agrees to:

  • Abide by the code of ethics of the Alaskan Malamute Club of America.

 

CONSTITUTION:

SECTION  1:         NAME.  The name of the club shall be; THE ALASKAN MALAMUTE ASSOCIATION OF EASTERN PENNSYLVANIA

 

SECTION 2:         OBJECTIVE.         The objectives of the club shall be;

        • To promote the responsible breeding practices of purebred Alaskan Malamutes.
        • Members and breeders will accept the standard of the breed as approved by the American Kennel Club as the only standard of excellence by which the Alaskan Malamute can be judged.
        • To do everything in the clubs power to protect and advance the interest of the breed by encouraging education and participation in activities pertaining to the breed.
        • To conduct member club specialty shows and match shows.

 

SECTION 3:         The Club shall not be operated for profit and not any part of the profits, remainder, or residue from dues or donations to the club shall inure to the benefit of any member or individual.

 

SECTION 4:         The Constitution may be amended by a vote of two-thirds of members present and voting. Before a proposed amendment may be enacted it shall be presented at a board meeting and accepted by a simple majority vote of the board and published in the newsletter.

 

BY-LAWS

 

ARTICLE I - MEMBERSHIP

SECTION 1.         There shall be three types of membership;

      • REGULAR MEMBERSHIP: open to all persons eighteen years and older, who are in good standing with the American Kennel Club, who are interested in the breed, and who subscribe to the objectives the club.
      • JUNIOR MEMBERSHIP: open to all persons between twelve and eighteen years of age, who are interested in the breed and subscribe to the objectives of the club. Reduced dues are charged for this type of membership, which offers all club members. Junior members may not vote or hold office.
      • ASSOCIATE MEMBERSHIP: open to all persons who meet the requirements of regular membership. Reduced dues are charged for this type of membership which offers all club benefits. Associate members may not vote or hold office.

 

SECTION 2.         DUES AND FEES

      • The annual dues for membership shall be set by the board at the first board or general membership meeting of the fiscal year.
      • VOTING RIGHTS: no member shall vote whose dues are not paid for the current year. All other benefits shall be denied to members not in good standing through non-payment of current year's dues, except in such cases beyond the member’s control.

 

SECTION 3.         ELECTION TO MEMBERSHIP

      • Each applicant shall apply on a form approved by the club officers. The application shall state the name, address, and occupation of the applicant and shall require the endorsement of one member in good standing. Acceptance of the applicant will be voted upon by the general membership at a scheduled meeting following receipt of the application. A full years dues will be paid upon submission of the application. When the application is received after June 30th and before January 1st, half the annual dues will be paid. Ownership of an Alaskan Malamute is not mandatory for membership in the club.

 

SECTION 4.         TERMINATION OF MEMBERSHIP

      • Membership may be terminated by resignation. Any member in good standing may resign from the club with written notice to the secretary.

 

ARTICLE II - OFFICERS AND BOARD

SECTION 1.          BOARD

      • The board shall consist of five officers; president, vice-president, secretary, treasurer, and editor.

 

SECTION 2.         OFFICERS

      • The OFFICERS of the club, consisting of president, vice-president, secretary, treasurer, and editor shall serve in their respective capacities at all meetings of the board and general membership. The officers shall be elected at the last meeting of the year and shall assume their office responsibilities upon election. The outgoing officers will provide all materials pertaining to their office at the year-end elections.
      • The PRESIDENT: shall preside at all meetings. The president shall vote at general membership meetings. At board meetings the president shall vote only in the event of a tie. The president shall exercise the responsibilities of a presiding officer, and shall enforce a strict observance of the constitution and by-laws. The president shall be elected to a two year term of office in the year ending with an odd number.
      • The VICE-PRESIDENT shall have the power to act and exercise the duties of the president in absence of the president. The vice-president shall assume other responsibilities as assigned by the president. The vice-president shall be elected to a two year term of office in the year ending with an even number.
      • The SECRETARY shall have control of all correspondence and is responsible for notification of new members of their election to membership, and for furnishing each new member with a copy of the constitution, by-laws, and code of ethics. The secretary shall keep a current membership list. The secretary will keep a written record of all meetings and matters pertaining to the general membership and the board. The secretary shall be elected to a two year term of office in the year ending with an even number.
      • The TREASURER shall collect and receive all monies due to the club. The treasurer shall deposit same in a bank approved by the board in the name of the club and shall pay out such sums as required to implement activities and functions which are formally authorized by the general membership.

At the first general membership meeting of the year the board shall authorize a limit the president or treasurer may pay from the club treasury without prior board approval. The amount set may be changed at any subsequent meeting in order to meet the changing needs of the club. Neither the president nor treasurer shall pay funds from the club treasury in excess of the amount set in the manner indicated above.

The Treasurer’s books shall be open to the club at all times and shall submit a written report to the club at each meeting. The treasurer shall be elected to a two year term of office in the year ending with an odd number.

      • The EDITOR shall carry out the function as stipulated in ARTICLE VI. The editor shall notify club members of meetings and proposed amendments to the constitution and/or by-laws. The editor shall act as the club historian. The editor shall be elected to a two year term of office in the year ending with an odd number.
      • VACANCIES: any office which becomes vacant through death, resignation, suspension, or expulsion shall be filled by appointment with a majority vote of the remaining officers.

 

SECTION 3.         NOMINATIONS AND ELECTIONS

      • CLUB YEAR: the fiscal year shall begin on the 1st day of January and end on the 31st day of December.
      • NOMINATIONS/ELECTIONS: at the last general membership meeting of the year members in good standing shall nominate and elect, by simple plurality of those present and voting, officers from the candidates nominated. There shall be no voting by proxy.

 

SECTION 4.         VIOLATIONS

      • Officers or committee chairpersons may, at any time, for violation or neglect of duty, be removed from their offices or functions by an affirmative vote of two-thirds of the total membership.

 

SECTION 5.         POLICY

      • The officers of the club shall interpret the constitution and by-laws and may from time to time, as required, establish regulations and procedures on matters not herein provided.

 

ARTICLE III - MEETINGS

SECTION 1.         GENERAL MEMBERSHIP MEETINGS

      • The club shall meet a minimum of two (2) meetings per year.

 

SECTION 2.         SPECIAL GENERAL MEMBERSHIP MEETINGS

      • Special general membership meetings may be called by the board, with a majority of the board members concurring.

 

SECTION 3.         BOARD MEETINGS

      • The board shall meet at such time and place designated by the president.

 

SECTION 4.         QUORUM

      • Thirty three percent of the regular membership shall constitute a quorum for the transaction of official business at any meeting. Three officers shall constitute a quorum for the meeting of the board.

 

ARTICLE IV - COMMITTEES

SECTION 1.         COMMITTEES

      • The board shall appoint all standing and special committees as it requires for the operation of the club, and appoint chairmen for such committees. The chairmen shall appoint members of those committees subject to approval of the board.

 

ARTICLE V. - DISCIPLINE

SECTION 1.         AMERICAN KENNEL CLUB SUSPENSION

      • Any member who is suspended from privileges of the American Kennel Club automatically shall be suspended from the privileges of this club for a like period.

 

SECTION 2.         SUSPENSION AND EXPULSION

      • The club by a two-thirds vote of the total membership may suspend or expel a member for improper conduct which is likely to endanger the welfare and character of the club. The suspension must be for a specific period of time, not to exceed six months. The vote to suspend or expel shall be held at the general membership meeting following the one at which the member was charged with misconduct. The member shall have the right to present his case before the general membership prior to voting for suspension or expulsion.
      • Any member who violates the AMCA Code of Ethics may be suspended or expelled according to SECTION 2 (A).

 

ARTICLE VI - NEWSLETTER

SECTION 1.         NEWSLETTER

      • The board shall insure a timely newsletter is available to club members. The newsletter shall be the source of reporting club business to the membership, list new members, and other items of interest, as determined by the board. A copy of each issue shall be mailed to each address where members reside.

 

ARTICLE VII - PROPERTY

SECTION 1.         PROPERTY

      • The interest of any member in the property of the club ceases with termination of membership.

 

ARTICLE VIII - DISSOLUTION

SECTION 1.         DISSOLUTION

      • The club may be dissolved at any time by the written consent of not less than two-thirds of the members. In the event of the dissolution of the club, whether voluntary or involuntary or required by law, none of the property or any assets of the club shall be distributed to any members of the club. After payment of all debts the club's property and assets shall be given to a charitable organization which benefits dogs as selected by the board.

 

ARTICLE IX - ORDER OF BUSINESS

SECTION 1.         GENERAL MEMBERSHIP MEETINGS

      • At all general membership meetings of the club the order of business shall be as follows; roll call, minutes of the last meeting, report of the president, report of the treasurer , report of other officers (as necessary), committee reports, election of new members, unfinished business, new business and election of officers (last meeting of the year).

 

ARTICLE X - CHARTER MEMBERS

SECTION 1.         Those members listed below, who were club members at the time of adoption of the original constitution and by-laws, adopted December 5, 1976, shall be designated charter members of the Alaskan Malamute Association of Eastern Pennsylvania.

ROBERT'S RULES OF ORDER SHALL BE ADHERED TO IN ANY CASE NOT COVERED BY THESE ARTICLES.
